1. Agreement to Terms
Welcome to ZYLO. These Terms and Conditions ("Terms") govern your access to and use of the ZYLO website (the "Site") and the digital currency or crypto trading services ("Services") offered by Meadows Management Pty Ltd (ACN: 651 288 390) trading as ZYLO ("ZYLO", "we", "us", "our").
By accessing our Site or engaging in a transaction with us on any third-party platform, you ("User", "you", "your") acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and our AML/KYC Policy. If you do not agree with these Terms, you must not use our Site or Services.
2. Nature of Our Services
ZYLO is a registered Digital Currency Exchange (DCE) with the Australian Transaction Reports and Analysis Centre (AUSTRAC). Our service consists of acting as a counterparty (a buyer or seller) in Peer-to-Peer (P2P) transactions for the exchange of digital currencies (cryptocurrency) and fiat currency (e.g., Australian Dollars).

No Platform Provided: ZYLO is not a trading platform or wallet provider. We do not host accounts or hold customer funds. All our transactions are conducted on reputable, third-party P2P platforms ("Host Platforms") such as Binance, OKX, ByBit, etc.

No Financial Advice: Information provided on this Site or during any communication does not constitute financial, investment, legal, or trading advice. You are solely responsible for your investment decisions. The value of digital currencies/crypto is highly volatile and can result in significant financial loss.

Third-Party Terms: Your use of any Host Platform is governed by that platform's own terms and conditions, privacy policy, and other relevant agreements. ZYLO is not responsible for the operation, security, availability, or rules of any Host Platform.
3. User Eligibility and Obligations
By using our Services, you represent and warrant that:

You have the full legal capacity to enter into a binding contract.

You have a fully verified account in good standing on the Host Platform where the transaction is taking place.

You are the sole and legitimate owner of both the fiat currency account (e.g., bank account) and the host platform account being used in the transaction. Transactions on behalf of third parties are strictly prohibited.

You are not located in, or a national of, any sanctioned jurisdiction and are not a person on any sanctions list (e.g., UN, OFAC, HMT, EU, Australian sanctions lists).

You will comply with all instructions provided in our trade advertisements on the Host Platform, including providing the correct payment reference and confirming payments promptly.
4. Prohibited Activities
You agree not to use our Services to engage in any of the following prohibited activities:

Any activity that violates any local, state, federal, or international law or regulation.

Any fraudulent activity, including providing false or misleading information.

Laundering, or attempting to launder, the proceeds of any illicit activity.

Financing, or attempting to finance, any terrorist activities.

Interfering with the security or integrity of our Site or Services.

Using abusive, threatening, or harassing language in any communication with our team.
ZYLO reserves the right to immediately terminate any transaction, block any user, and report any suspicious activity to the relevant Host Platform and law enforcement authorities, including AUSTRAC, if we suspect a breach of these terms.
5. Risks of Trading Crypto
You acknowledge and accept the inherent risks associated with trading digital currencies or crypto, including but not limited to:

Price Volatility: The value of crypto can fluctuate dramatically in a short period. You may lose the entire value of your investment.

Transaction Risks: Crypto transactions are irreversible. Once a transaction is recorded on the blockchain, it cannot be undone.

Regulatory Risks: The legal and regulatory landscape for crypto or digital assets is evolving and may change at any time.
6. Limitation of Liability
To the maximum extent permitted by Australian law, ZYLO and its directors, employees, and agents shall not be liable for any direct, indirect, incidental, special, or consequential damages or losses you may suffer, including loss of profits, revenue, or data, arising from:

Your use of, or inability to use, our Services.

The performance, security, or availability of any third-party Host Platform.

Fluctuations in the value of digital currencies or crypto.

Any action or inaction taken by you based on information provided by us.

Errors or mistakes made by you during a transaction (e.g., sending funds to the wrong account).
Our total liability to you for any single claim arising out of a transaction with us is limited to the fiat value of that transaction at the time it was initiated.
7. Indemnification
You agree to indemnify and hold harmless ZYLO, its directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to legal fees) arising from your breach of these Terms or your violation of any law, regulation, or the rights of any third party.
8. Intellectual Property
All content on this Site, including text, graphics, logos, images, and software, is the property of ZYLO or its licensors and is protected by Australian and international copyright and trademark laws.
9. Governing Law and Dispute Resolution
These Terms shall be governed by and construed under the laws of the Commonwealth of Australia.
Any dispute arising during a transaction must first be addressed through the dispute resolution mechanism of the Host Platform. For any dispute arising directly with ZYLO outside of a Host Platform transaction, you agree to first contact us to seek a resolution.
10. Amendments
We reserve the right to amend these Terms at any time. Any amendments will be effective immediately upon posting the revised version on our Site. Your continued use of our Services following the posting of the amendments will constitute your acceptance of such changes.
